These Terms of Service ("Terms") constitute a binding agreement between you ("you", "Customer") and Lmein RMM ("Lmein", "we", "us"). They govern access to and use of the website at lmein.it.com and the Lmein platform (together, the "Services"). By accessing or using the Services, you accept these Terms.
1. Eligibility and account
You must be at least 18 years old and have the authority to bind the entity you represent. You are responsible for keeping your account details accurate and your credentials secure. Tell us promptly about any unauthorized use.
2. Subscription and fees
Paid Services run on a subscription basis. Fees, billing periods and entitlements are set out on the Pricing page or in your order. Unless stated otherwise, fees are non-refundable and exclude taxes.
We may adjust pricing for new subscription terms with 30 days' notice. Committed terms in progress are honored at the agreed rate.
3. Acceptable use
You agree not to: (a) use the Services to break applicable law or third-party rights; (b) reverse engineer, decompile or try to extract source code, except as permitted by law; (c) circumvent usage limits or security controls; (d) distribute malware or attack any system through the Services; or (e) resell, sublicense or white-label the Services without written consent.
4. Customer data
All rights in data you submit to the Services ("Customer Data") remain yours. You grant Lmein a limited license to host, process and transmit Customer Data for the sole purpose of providing the Services. Customer Data is handled per our Privacy Policy and any applicable data processing addendum.
5. Service availability
We use commercially reasonable efforts to keep the Services available. Availability commitments and credits, where offered, are described in your order or our standard SLA. Planned maintenance windows are announced ahead of time.
6. Confidentiality
Each party will safeguard the other's non-public information shared in connection with the Services with at least the same care it applies to its own confidential information (and never less than reasonable care). Confidential information may be used only to perform under these Terms.
7. Intellectual property
Lmein and its licensors keep all rights, title and interest in the Services, including the underlying software and documentation. No rights are granted beyond those expressly stated in these Terms. Feedback you provide may be used by Lmein without restriction.
8. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, Lmein disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Uninterrupted or error-free operation is not warranted.
9. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Each party's total liability arising out of or related to these Terms is capped at the fees paid by Customer to Lmein in the 12 months before the event giving rise to the claim.
10. Indemnification
Each party will defend the other against third-party claims stemming from its breach of these Terms or its violation of law, and will pay damages and costs finally awarded in such an action.
11. Termination
Either party may terminate for material breach that remains uncured 30 days after written notice. When termination takes effect, your access to the Services ends; Customer Data remains available for export for a reasonable period as described in your order.
12. Governing law and venue
These Terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-law principles. Exclusive venue for disputes lies in the state and federal courts located in Salt Lake County, Utah, unless otherwise required by law.
13. Changes to these Terms
We may revise these Terms occasionally. Material changes will be communicated by email or in-app notice, and continued use of the Services after the effective date counts as acceptance.
